Key Notes

  • Lufthansa has signed an agreement to acquire an initial 44.9% of TAP Air Portugal for €1.025 billion, subject to regulatory approval.
  • Carsten Spohr says the flight networks have limited overlap and that it is too early to discuss specific competition remedies.
  • Lisbon is planned as Lufthansa Group’s seventh hub, with Brazil and the South Atlantic central to the proposed expansion.

Lufthansa Group has signed an agreement to buy an initial 44.9% stake in TAP Air Portugal, while chief executive Carsten Spohr argues that the airlines’ limited network overlap supports the proposed combination. The transaction still requires regulatory approval, including from the European Commission.

Speaking after the November 3 signing in Lisbon, Spohr told Reuters that it was “too early to talk about certain remedies.” His comments set out Lufthansa’s position ahead of the competition review, with the group seeking a stronger foothold in Portugal and the South Atlantic.

What Lufthansa Has Agreed to Buy

The signed contract advances the process beyond Portugal’s October selection of Lufthansa over Air France-KLM. Lufthansa’s signing announcement sets out the principal terms:

  • Initial stake: 44.9% of TAP for €1.025 billion.
  • Potential additional shares: Lufthansa could acquire shares initially offered to employees, taking its holding to as much as 49.9%.
  • Maximum initial-phase price: up to €1.2 billion, including the additional shares and a time-related payment adjustment known as a ticking fee.

Lufthansa says it will fund the investment entirely from available liquidity. Under the initial transaction, the Portuguese state would retain 50.1%, with the remaining 5% allocation available to employees or, if not taken up, to Lufthansa.

Why Lisbon Matters to Lufthansa’s Network

The group wants Lisbon to become its seventh hub and a gateway for South Atlantic travel. TAP’s connections with Brazil, Portuguese-speaking Africa and North America are central to that strategy.

Lufthansa estimates that combining its network with TAP would lift the group’s share of traffic between Europe and Latin America from roughly 9% to about 20%. It presents those networks as complementary, particularly because its current presence in Brazil is comparatively limited.

Spohr’s argument concerns how the airlines fit together geographically. The European Commission’s approval remains a separate requirement, and the November 3 statements leave any potential competition conditions to the review process.

Portugal Puts TAP’s Identity and Connections First

Portugal’s government statement emphasises preserving TAP’s brand, Portuguese identity and Lisbon hub. It also identifies Porto, Faro, the Azores and Madeira as important parts of the wider strategy.

Prime Minister Luís Montenegro highlighted the airline’s role in connecting Portugal with its island regions, overseas communities and Portuguese-speaking markets. The government framed those links as strategic assets that the partnership should develop.

The industrial plans extend beyond passenger flights. Portugal points to Lufthansa Technik’s project in Santa Maria da Feira, a pilot school in Tancos and an innovation centre in Aveiro as parts of the broader aviation relationship.

For the acquisition itself, closing will follow the required regulatory approvals. The signed agreement establishes the investment terms. Implementing the group’s plans for TAP will depend on the transaction proceeding.
